If you do not agree to these terms of use, then you must not access or use any of the Services. You agree that these terms of use, and any related information, communications and agreements between you and us, may be made available or occur electronically. These terms of use were last updated on the “Updated” date indicated below. We reserve the right, at our sole discretion, to modify these terms of use at any time. Please review these terms of use on a regular basis to keep yourself apprised of any changes.

Your Use of Our Website

The Services may only be accessed and used only by individuals located in Canada, excluding Quebec, who have reached the age of majority in their jurisdiction of residence, can form legally binding contracts under applicable law, and have accepted these terms of use. The Services are not intended for persons resident or located in any jurisdiction outside Canada. The Services do not, and are not intended to, provide any health, financial, insurance, legal, accounting, or tax advice, and must not be relied upon by you in that regard. Teachers Life products are available only in jurisdictions where they may be legally offered for sale. All Teachers Life products are subject to the terms and conditions of any applicable laws. Our website shall not be used, or relied upon by you, as a substitute for your own research or professional advice that is provided to you by a Teachers Life representative.

Changes to Website Content or the Services

Teachers Life reserves the right, at any time, with or without cause, to change any of these terms of use, any of the Services, including eliminating or discontinuing any particular Service or any feature of the Services. Any change that we make will become effective immediately upon notice to you, which may be given by any means, including by updating these terms of use, or through any other form of electronic communication. You agree that if you continue to use the Services after such a change, that this will constitute your acceptance of such change.

Your Privacy

We respect your right to privacy. All information that we may collect from you when you use the Services, including the Mobile Services, is subject to our privacy statement, which is incorporated by reference into these terms of use and is accessible via a link at the bottom of the website. We gather data when you interact with our websites and apps. The data we collect includes your IP address, information about how visitors explore our websites and about the number of new and repeat visitors, the pages they visited on our website, the date and time of their visits, the length of the visits, the referral URL, and information about the device and browser used and other similar details.

Your Conduct

To the extent that our website permits you to post, email, or otherwise make available content, you agree not to post, email or otherwise make available content that: (a) is unlawful; (b) includes personal or identifying information about another person without that person’s explicit consent; (c) impersonates any person or entity, including, but not limited to, a Teachers Life employee, or falsely states or otherwise misrepresents an affiliation with a person or entity; (d) infringes any patent, trademark, trade secret, copyright or other proprietary rights of any person, or content that you do not have a right to make available under any law or under contractual or fiduciary relationships; (e) is harmful, threatening, abusive, harassing, defamatory, pornographic that includes links to websites containing such material for example; (f) harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability; (g) constitutes or contains any form of advertising or solicitation, or that includes links to commercial Services or websites; (h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (i) disrupts the normal use of our website with an excessive amount of content, or that otherwise negatively affects other users’ ability to use our website; or (j) employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of content transmitted through our website.

Your Application for Insurance

By requesting a quote or submitting an application for insurance, you represent and warrant to Teachers Life that: (a) all information provided by you to Teachers Life is truthful, accurate and complete; and (b) you will comply with these terms of use. As a registered user, you agree to maintain and promptly update your registration data as necessary to keep it true, accurate, current and complete. We and our service providers will rely on the information you provide. You will be solely responsible and liable for any and all loss, damage or additional costs that we and/or our service providers or others may incur as a result of your submission of any false, incorrect or incomplete information or your failure to update your registration or other information that you submit to us when you use the Services.

Applications that you submit to Teachers Life by means of our website are not effective unless and until they are processed by the responsible Teachers Life representative, and a separate confirmation is provided to you (in writing or by email). Teachers Life may refuse to process any applications sent to Teachers Life by means of our website or may reverse the processing of any applications sent to Teachers Life by means of our website, at any time in Teachers Life’s discretion, and without any notice or liability to you or any other person, including without limitation if: (i) Teachers Life cannot process the applications (including if required by Teachers Life’s account opening standards or due to underwriting risk); (ii) the applications violate any provision of these terms of use or any other agreement that you or any other person may have with Teachers Life; (iii) Teachers Life considers that the applications may conflict with any other instructions from or agreements with you or any person you represent; or (iv) there is an operational failure or malfunction in connection with the transmission of the applications.

Member Account and Services

To use or access certain areas of our website and certain Services, you may be required to first complete a registration process to create a member account (“Account”) which includes selecting and registering a unique user name/identifier code and password (collectively, your “Credentials”). Depending on the types of products and Services you purchase or the areas of the website you want to access, you may be required to set up more than one Account with its own Credentials. Any reference to “Account” or “Credentials” in these terms of use will apply to all of your Accounts and Credentials and the opportunity to use your Account forms part of the Services. Your Account and Credentials are specific to you and you must not share them or transfer them to any other person or allow any other person to use your Credentials or your Account. You are solely responsible for maintaining the confidentiality of your Account and your Credentials, and that you will be held solely responsible for any loss or harm resulting from disclosure of your Credentials or any unauthorized use of your Credentials or Account. You agree to immediately notify us of any unauthorized use of your account.

You will provide true, accurate, current and complete information about yourself and any other information that we request when you create or access your Account (“Account Data”). You will also maintain your Account Data to keep it true, accurate and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or if we have reasonable grounds to believe any of your Account Data is untrue, inaccurate, not current or incomplete then we have the right to suspend or terminate your Account and refuse you any and all current or future use of the Account or any of the Services accessed through your Account.

You agree that we can act on any communication that is given through your Account or using your Credentials and we are not required to verify the actual identity or authority of any person using your Account or Credentials, but we may do so in our sole discretion and we may deny use or access to your Account if we are not satisfied with the verification. You may be required to change or update your Credentials from time to time.

Mobile Services

Some of our products and services may be available via your mobile phone, including but not limited to (i) your Accounts, (ii) the ability to obtain a quote and/or purchase an insurance product via your mobile phone, (iii) the ability to receive and reply to messages from us, (iv) the ability to browse our website from your mobile phone and (v) the ability to access certain features through a mobile application you have downloaded and installed on your mobile phone (collectively, the “Mobile Services”). We do not charge for the Mobile Services. However, your carrier’s normal messaging, data and other rates and fees will still apply. In addition, downloading, installing, or using certain Mobile Services may be prohibited or restricted by your carrier, and not all Mobile Services may work with all carriers or devices. Therefore, you should check with your carrier to find out if the Mobile Services are available to you, and what restrictions, if any, may be applicable to your use of such Mobile Services.

Proprietary Rights

Content displayed on or through our website is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of our website or the collective work, and/or copying or reproducing our website or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of Teachers Life. You further agree not to reproduce, duplicate or copy content from our website without the express written consent of Teachers Life, and agree to abide by any and all copyright notices displayed on our website. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TEACHERS LIFE, ITS SUBSIDIARIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, SUCCESSORS AND ASSIGNS MAKE NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, RELATED TO ITS WEBSITES OR THE SERVICES AND EXPRESSLY DISCLAIMS ANY WARRANTIES OR REPRESENTATIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, UNINTERRUPTED OR ERROR-FREE SERVICES AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS.

TEACHERS LIFE MAKES NO ASSURANCES OR REPRESENTATIONS AND EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY PRODUCTS, SERVICES OR INFORMATION THAT YOU USE OR ACCESS ON THIS WEBSITE, ANY INFORMATION OR SERVICES PROVIDED BY A THIRD PARTY THAT ARE ACCESSIBLE TO YOU THROUGH THIS WEBSITE AND EXPRESSLY DISCLAIMS LIABILITY FOR THE CONDUCT OF ANY THIRD PARTY YOU MAY DEAL WITH IN CONNECTION WITH YOUR USE OF THE SERVICES.

Limitation of Liability

IN NO EVENT WILL TEACHERS LIFE, ITS SUBSIDIARIES AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, AGENTS, EMPLOYEES, SUCCESSORS AND ASSIGNS WILL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, COMPENSATORY OR PUNITIVE DAMAGES OR LOSSES OR DAMAGES FOR LOSS OF INCOME, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA OR BUSINESS INFORMATION, LOSS OR DAMAGE TO PROPERTY AND CLAIMS OF THIRD PARTIES OR OTHER PECUNIARY LOSS ARISING OUT OF OR RELATED TO THESE TERMS OF USE OR YOUR USE OF THE SERVICES. IN NO EVENT WILL THE CUMULATIVE LIABILITY OF TEACHERS LIFE ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE AMOUNT OF PREMIUM OR OTHER FEES PAID BY YOU TO TEACHERS LIFE IN THE ONE MONTH IMMEDIATELY PRECEDING YOUR CLAIM.

Indemnity

You agree to indemnify, release, defend and hold Teachers Life, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable legal fees and court costs, made by any third party arising out of or related to: (i) your use of any of the Services, (ii) your breach of any of these terms of use, or of any of the representations and warranties herein, or (iii) your violation of any rights of another person. We will notify you promptly of any such claim and will provide you (at your expense) with reasonable assistance in defending the claim. You will allow us to participate in the defense and will not settle any such claim without our prior written consent. We reserve the right, at our own expense, to assume the exclusive defense of any matter otherwise subject to indemnification by you. In that event, you will have no further obligation to defend us in that matter.

General Matters

These terms of use constitute the entire agreement between you and Teachers Life regarding your use of our website, superseding any prior agreements between you and Teachers Life. These terms of use and the relationship between you and Teachers Life shall be governed by the laws of the Province of Ontario (and the federal laws of Canada applicable therein) without regard to its conflict of law provisions. You and Teachers Life agree to submit to the non-exclusive jurisdiction of the courts located in Toronto, Ontario. The failure of Teachers Life to exercise or enforce any right or provision of these terms of use shall not constitute a waiver of such right or provision. If any provision of these terms of use is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these terms of use remain in full force and effect.
